Terms and Conditions

The term ‘SFL Mobile Radio’ or ‘the company’ or ‘us’ or ‘we’ refers to the owner of the website whose office is SFL Mobile Radio Holdings Ltd, Unit 6 Woodway Court, Thursby Road, Bromborough International Business Park, Merseyside, CH62 3PR.

SFL Mobile Radio Holdings Ltd is a member of the Taoglas Group of companies. Where an Order specifies a delivery address in Ireland, the contract is with Taoglas Limited (Ireland) (company number 390248), an affiliate of SFL Mobile Radio Holdings Ltd, whose registered office is at Unit 5 Kilcannon Business Park, Old Dublin Road, Enniscorthy, Co. Wexford, Y21 XW56, Ireland, and references to ‘the company’, ‘us’ or ‘we’ in relation to such orders mean Taoglas Limited (Ireland).

The term ‘you’ or ‘the customer’ refers to the user or purchaser. ‘The Equipment’ means the goods to be purchased by the customer under the contract in which these Terms and Conditions are incorporated, referred to as ‘the Contract’. ‘The Act’ means the Sale of Goods Act 1979 and, in respect of consumer contracts, the Consumer Rights Act 2015 (or, for consumers ordering delivery to Ireland, the Consumer Rights Act 2022).

Terms and Conditions of Sale

1Warranty

All products supplied are covered by the manufacturer’s warranty, either 6, 12 or 24 months depending on the manufacturer and purchased item. Any refurbished equipment is covered by SFL Mobile Radio Ltd’s 3 month warranty unless otherwise stated in writing. The warranty period commences from the date of invoice.

SFL Mobile Radio Ltd cannot be liable for any defects arising from fair wear and tear, physical damage, liquid ingress or damage, and/or interference by the customer or any third party.

SFL Mobile Radio Ltd reserve the right to refuse to repair or replace goods if:

  1. full payment for the goods has not been made; or
  2. the manufacturer refuses to accept the repair or replacement under warranty for whatever reason.

2Cancellation and Returns

Business sales

No cancellation, suspension or variation of the Contract shall be valid unless agreed by the company in writing, and such agreement will only be given on terms which compensate the company for any losses arising from the cancellation and re-stocking. Such compensation shall not be less than 10 per cent of the value of the cancelled Contract or portion thereof.

This clause 2 applies only to customers acting for purposes relating to their trade, business, craft or profession. Where the customer is a consumer, clause 2A below applies instead.

2AConsumer cancellation

If you are a consumer, you may cancel your order at any time up to 14 days after the day you receive the Equipment, without giving any reason and without paying a cancellation fee, in accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

We will reimburse all payments received from you, including standard delivery costs, without undue delay and within 14 days of being informed of your decision to cancel (or, if later, once we have received the goods back or you have supplied evidence of returning them).

You must return the goods without undue delay and in any event within 14 days of telling us you wish to cancel. You will bear the direct cost of return unless we agree otherwise. We may deduct from the refund any loss in value resulting from unnecessary handling by you.

Unwanted products

You must return the goods in as sold condition in their original packaging, at your expense and liability. We recommend that the goods are packed carefully and that you obtain proof of posting.

Unwanted items can be returned even if you have opened them for inspection, as long as you let us know within 14 calendar days from the day after delivery. Once you have told us you want to return an item, you should do so without undue delay and no later than 14 days from the day you informed us of your decision to cancel the order.

You can examine the goods as you would in a shop, but to obtain a full refund you must not start using them, install them or input any data or software. The goods must be returned in ‘as new’ condition and in their original packaging. Please include your name, address and online order number so we can identify your order and process the refund.

Refunds will be made within 7 days of receipt of the returned goods. We may make a deduction from the refund for any loss in value of the goods if the loss is a result of unnecessary handling by you.

Faulty products

We will offer a repair, exchange or refund if the fault occurs within 28 days of purchase (or delivery). If the fault occurs within the product’s guarantee period (normally 6, 12 or 24 months from delivery depending on the manufacturer) we will offer you a prompt repair service.

In all cases, we reserve the right to inspect the product and verify the fault. For a refund or exchange, the product must be in otherwise ‘as new’ condition, complete with any accessories and free gifts offered and, if possible, with the original box and packaging.

Refunds for faulty goods include the original delivery charge, although all faulty items are returned to us at the purchaser’s expense and liability. We do not cover faults caused by accident, neglect, misuse or normal wear and tear.

Earpieces and headsets are non-refundable for hygiene reasons. Please check compatibility with our sales team before purchasing.

4Prices

Prices quoted apply only to the quantities specified in the quotation for delivery in the United Kingdom and are not subject to any discounts.

5Validity

Prices stated on the order are valid for 60 days from the date of the order and shall then lapse unless revised or confirmed by the company in writing.

6Terms of Payment

Unless otherwise stated in writing, the prices stated are not subject to any discount and payment in full is due upfront, or 30 days after the date of invoice.

7Delivery

All references to delivery shall mean delivery ex-works. Our normal delivery is 2 to 5 working days from receipt of order, to be agreed at the time of ordering, or sooner subject to:

  1. goods being available from our supplier;

  3. in the case of payment in advance, funds being cleared in full;
  4. Next Day Delivery items being ordered before 3pm. These are sent on a next working day service; orders placed after 3pm are sent the following working day.

Delivery and responsibility for the goods will be deemed to have taken place once we have a signed delivery advice note or proof of delivery via our nominated delivery method. Any short or incorrect shipment must be notified to SFL Mobile Radio Ltd in writing within 48 hours of receipt of goods.

Free delivery over £100 is applied to the price exclusive of VAT and applies to orders placed online via the website only.

8Storage and Delayed Delivery

The company reserves the right to make a storage charge for any Equipment the customer requests the company to hold after the date on which delivery should have been made.

9Packing and Damage in Transit

All Equipment delivered to the customer will be packed in the company’s standard transit cartons, which are not suitable for storage. Any item damaged in transit must be notified in writing to the carrier and the company within 48 hours of delivery at the address specified by the customer, failing which the customer shall not be entitled to make any claim in respect of it.

10Property

10.1 Ownership of the products shall not pass to you until:

  1. you have paid us for the products in full; and
  2. no other sums are then outstanding from you to us on any account, whether or not such sums have become due for payment.

10.2 Until ownership of the products passes to you:

  1. you shall hold them as our bailee, and keep them properly stored and protected;
  2. we shall be entitled at any time to require you to deliver the products to us immediately, failing which we may enter your premises or any third party’s premises where the products are stored and mark, identify and repossess them;
  3. should you fall into administration, or expect to fall into administration in the near future, you must notify us as owners of the products and comply with clause 10.2(b).

11Liability

11.1 Without prejudice to any rights accrued in favour of the company in respect of any breach by the customer, the company shall not be obliged to supply any Equipment if and for so long as:

  1. the customer commits any breach of its obligations under the Contract; or
  2. the customer (or any person included in the definition of the customer) is adjudicated bankrupt, makes any composition or arrangement with its creditors, or (being a company) enters into liquidation (other than voluntary liquidation for the purpose of reconstruction or amalgamation) or has a receiver of its assets appointed.

11.2 The company shall not be liable for:

  1. any failure to perform any of its obligations under the Contract due to strikes, government restrictions, acts or omissions of the customer or any other cause beyond the control of the company;
  2. any indirect or consequential damage or loss (for example loss of profit) arising out of or in connection with any breach by the company, its servants or agents of any of the company’s obligations under the Contract, including any breach of a fundamental term or any fundamental breach of any term of the Contract; or
  3. any loss or damage which may be suffered by anyone as a result of any advice, information, engineering or other services provided by the company, its servants or agents in good faith.

11.3 Nothing in these conditions shall exclude from the Contract any of the terms implied by section 12 of the Act or (where the Contract relates to a consumer sale) by sections 7 to 12 of the Act, or exclude or restrict any liability of the company or any right or remedy of the customer in respect of any breach of any such implied term.

12English Law

The Contract shall be governed by and interpreted in accordance with English law. Where you are a consumer habitually resident in Ireland, nothing in this clause shall deprive you of the protection afforded by any mandatory provisions of Irish law from which your rights cannot be contractually excluded, including under the Consumer Rights Act 2022, and you may bring proceedings in the courts of Ireland or England.

13Notices

Any notice given under the Contract to the customer shall be deemed to have been duly served and received in due course of post if sent by the company by pre-paid letter post addressed to the customer at the customer’s last known address.

14Headings

The headings do not form part of these Terms and Conditions and shall not be taken into account in their interpretation.

15Severability

If any court or competent authority decides that any of these Terms (or part of any of these Terms) is invalid, illegal or unenforceable, that provision or part-provision shall, to the extent required, be deemed deleted, and the validity and enforceability of the other provisions of these Terms shall not be affected.

16Entire Agreement

These Terms, together with the Order and any documents expressly referred to in them, constitute the entire agreement between you and us in relation to their subject matter and supersede any prior agreement, understanding or arrangement, whether oral or in writing. You acknowledge that you have not relied on any statement, representation, assurance or warranty other than as set out in these Terms.

17Third Party Rights

A person who is not a party to these Terms shall have no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms, but this does not affect any right or remedy of a third party which exists or is available apart from that Act.
